DOING BUSINESS IN MAURITANIA

STARTING A BUSINESS

STANDARDIZED COMPANY
Legal Form: Société à Responsabilité Limitée (SARL) - Limited Liability Company
Minimum Capital Requirement: 1,000,000

Registration Requirements:

Procedure 1. Deposit the legally required initial capital in a bank and obtain deposit evidence.


Time to complete: 8 days

Cost to complete: no charge

Procedure 2. Deposit the Company's Deed and Articles of Association with the notary

Time to complete: 1 day

Cost to complete: UM 150

Comment: The law in Mauritania does not require the notarisation of the Status for Limited Liabilities Companies. However the Commercial Court had always required such Status to be notarised.

Procedure 3. Register the company with the "Direction des Domaines"

Time to complete: 1 day

Cost to complete: UM 1,000 (or UM 100 per page for stamps)

Comment: Direction des Domaines is responsible for recording legal act in terms of a register number, the date and the denomination. A specimen of the act is preserved in theory indefinitely.

The fee schedule for the name registration is as follows:
0-2 millions UM: 2 %
2 -5 millions UM: 1.5 %
5 -10 millions UM: 1 %
> 10 millions UM: 0.5 %

Procedure 4. Registration with the Clerk's Office for Commercial Registry (Greffe du Tribunal de Commerce)

Time to complete: 5 days

Cost to complete: 4% of capital

Procedure 5. Publication in a newspaper

Time to complete: 5 days

Cost to complete: USD 50

Comment: It takes UM1,000 and 3 months to publish on an official gazette.

Procedure 6. Register with the Tax Department "Direction Générale des Impots" and get a fiscal number.

Time to complete: 1 day

Cost to complete: no charge

Procedure 7. Obtain a compliance certificate from the Central Bank of Mauritania in preparation to apply with the Ministry of Economic Affairs and Development "Guichet Unique".

Time to complete: 10 days

Cost to complete: UM 20000

Procedure 8. Application with Ministry of Economic Affairs and Development "Guichet Unique" to benefit from the incentive regime of the Investment Code

Time to complete: 45 days

Cost to complete: UM 20000

Comment: Because of the high normal level of taxation, almost all companies apply for the Guichet Unique to benefit from the incentive regime of the Investment Code. The Guichet has in principle 45 days to notify the founder on its decision, yet this is not respected in practice.

Procedure 9. Register for Social Security with the "Caisse Nationale de Sécurité Sociale"

Time to complete: 1 day

Cost to complete: no charge

Procedure 10. Apply to the Ministry of Labour for a permit to start a lucrative business

Time to complete: 4 days, depending on complexity of drafting and availability of notary

Cost to complete: no charge

Comment: Any person who needs to exercise a lucrative activity in Mauritania needs to apply for a permit from the Labour Ministry. The permit is of unlimited duration.

Procedure 11. Send a notification letter of starting the business to the Labour Inspector

Time to complete: 1 day

Cost to complete: no charge

TAXATION

The major indirect taxes are import duties, a turnover tax on exports and mining companies, a value-added tax (VAT), excise levies on petroleum, tobacco, a service tax, and a tax on vehicles. In 2003, the standard VAT rate was set at 14%. The major direct tax is an income tax on wages and salaries; a general income tax and a tax on the profits of industrial and commercial corporations are also imposed.
